# Terms of Service

These terms apply to engagements with DacForge, a trading name of Digital Active Consulting DOOEL, a single-member limited liability company registered in Ohrid, North Macedonia (EMBS 7814631). Using this website, emailing us, or entering an engagement with us means you accept these terms.

## 1. What we offer

DacForge provides software consulting, product development, engineering team extension, and related tooling services. The specific scope of any engagement is defined in a separate written agreement or statement of work between DacForge and the client.

## 2. Engagements and pricing

Engagements are scoped as fixed outcomes and priced on a value basis, not hourly. Payment terms, deliverables, and timeline are agreed in writing before work begins. Hourly billing is not offered.

Unless otherwise stated in a specific agreement, invoices are issued in EUR or USD and due within fourteen days of issue.

## 3. Intellectual property

Work product delivered under an engagement is owned by the client on full payment, unless a specific agreement says otherwise. DacForge retains the right to reuse generic patterns, libraries, and knowledge gained during the engagement in other work, provided no confidential client information is carried over.

This website, its content, and its design are owned by Digital Active Consulting DOOEL.

## 4. Confidentiality

DacForge treats client information, codebases, data, and business context as confidential by default. Specific non-disclosure terms can be agreed in writing when required.

## 5. Warranties and liability

Work is provided to a professional standard of care. DacForge does not warrant that software will be error-free or uninterrupted, and is not liable for indirect or consequential damages beyond the fees paid for the specific engagement giving rise to the claim.

Nothing in these terms limits liability for anything that cannot lawfully be limited under the applicable jurisdiction.

## 6. Termination

Either party may terminate an engagement with written notice, subject to the specific termination provisions in the engagement agreement. Fees for work completed up to the termination date remain payable.

## 7. Governing law

These terms are governed by the laws of the Republic of North Macedonia. Disputes that cannot be resolved through good-faith negotiation are subject to the jurisdiction of the courts of North Macedonia, unless a specific engagement agreement provides otherwise.

## 8. Changes to these terms

We may update these terms from time to time. The "last updated" date at the top of this page reflects the most recent change. Continued use of the website after an update means you accept the updated terms.
